Daniel A. Zabludowski has more than thirty years of experience representing clients in the areas of corporate, business and commercial transactions, real estate, loan transactions, bankruptcy & creditors' rights, and domestic and offshore incorporations, including the formation and structuring of such entities on behalf of investors. He also represents business owners and entrepreneurs in connection with the organization and capitalization of new business ventures.
Zabludowski' commercial and business practice includes representing both sellers and purchasers with commercial business transactions, including mergers and acquisitions and in the sale and purchase of businesses. He also acts as general or special counsel, advising clients in a wide variety of planning issues including formation, organization and structuring business entities such as limited liability companies, corporations, liability partnerships and joint ventures. Zabludowski practice also includes negotiating shareholder and operating agreements, employment and confidentiality agreements and distribution and licensing agreements. He is also involved in many aspects of reorganization, buy-outs, loan restructurings and workouts representing both secured and unsecured creditors, investors and purchasers of assets or ownership interest of distressed companies.
Zabludowski' real estate practice includes representing clients in the acquisition, leasing, financing and sale of commercial and residential real estate projects including shopping centers, hotels, office buildings, warehouses and apartment buildings. Additionally, Zabludowski handles real estate workouts including loan modifications, foreclosures and loan sales.
Prior to joining the firm, Zabludowski merged his practice with Hinshaw & Culbertson LLP in August 2004 and was a partner in the law firm of Litow, Cutler & Zabludowski, LLC.
Zabludowski is actively involved in the International Bar Association, Canadian-American Chamber of Commerce, French American Chamber of Commerce, and a member of the Florida Bar's Banking and Business Law, Intellectual and Real Property, Probate and Trust, and International Law Sections committees.
Zabludowski is a member of the Florida Bar. He received his LL.M., Real Property, Land Development and Finance Law in1983 and his Juris Doctor in 1982 from the University of Miami. Zabludowski earned his bachelor of arts from Concordia University, Quebec Canada in 1997. He is fluent in French.
